Online Agreement

Welcome to Global Dragon!

This Online Vendor Agreement (“Agreement”) is a legally binding agreement between you (“Vendor”, “you”, or “your”) and Global Dragon (“Global Dragon”, “we”, “us”, or “our”). This Agreement governs your access to and use of the Global Dragon website, platform, tools, and services (collectively, the “Platform”).

By accessing, registering, listing services, or accepting bookings through the Global Dragon Platform, you confirm that you have read, understood, and agree to be bound by this Agreement.

1. About the Platform

Global Dragon is an online marketplace that connects event service providers (“Vendors”) with individuals and businesses seeking services for weddings, corporate events, private parties, festivals, and other special occasions (“Clients”).

The Platform allows Vendors to create profiles, list services, receive booking requests, communicate with Clients, and accept payments through the Platform.

Global Dragon is not a party to any agreement between Vendors and Clients, except for facilitating payment processing as outlined in this Agreement.

2. Vendor Registration and Eligibility

  • Vendors may register and list their services on Global Dragon free of charge.
  • Vendors must provide accurate, current, and complete information during registration.
  • Vendors are responsible for ensuring they hold all required licenses, permits, insurance, and legal authority to provide their services.

3. Listings and Services

  • Vendors are solely responsible for the accuracy of their listings, pricing, availability, images, and descriptions.
  • Vendors agree to perform services as described and confirmed at the time of booking.
  • Any changes to services must be clearly communicated to Clients and updated through the Platform where applicable.

4. Bookings and Payments

  • All confirmed bookings must be processed through the Global Dragon Platform.
  • Global Dragon handles payment collection and processing on behalf of Vendors.
  • Clients submit payments directly through the Platform; Vendors may not collect off-platform payments intended to avoid platform fees.

5. Fees and Commissions

  • Vendor registration and service listings are free.
  • For each confirmed booking, Global Dragon will deduct:
  • 20% platform service commission, and
  • 3% credit card processing fee.

The remaining balance will be paid to the Vendor according to the Platform’s payout schedule. All fees are automatically deducted before payout.

6. Cancellations and Refunds

  • Vendors must clearly state their cancellation and refund policies within their listings.
  • Refunds will be handled according to the Vendor’s stated policy and Platform procedures.
  • Global Dragon may assist with dispute resolution but is not responsible for disputes between Vendors and Clients.

7. Vendor Conduct and Responsibilities

Vendors agree to:

  • Provide services professionally, safely, and on time
  • Communicate clearly and promptly with Clients
  • Comply with all applicable local, state, and federal laws
  • Maintain appropriate insurance coverage where required

8. Independent Contractor Relationship

Vendors operate as independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between Vendors and Global Dragon.

Vendors are solely responsible for all taxes, insurance, permits, and liabilities related to their services.

9. Platform Limitations and Disclaimer

  • Global Dragon does not guarantee bookings, income, or business success.
  • Global Dragon does not control, supervise, or guarantee the quality, legality, or performance of Vendor services.
  • Use of the Platform is at your own risk.

10. Prohibited Conduct

Vendors may not:

  • Misrepresent services, pricing, or availability
  • Circumvent the Platform to avoid fees
  • Post unlawful, misleading, abusive, or infringing content
  • Engage in fraudulent, deceptive, or harmful behavior

Violation of this section may result in suspension or termination of your account.

11. Intellectual Property

  • Vendors retain ownership of their content.
  • Vendors grant Global Dragon a non-exclusive, royalty-free license to use Vendor content for platform operation, marketing, and promotional purposes.

12. Limitation of Liability

Global Dragon shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Platform or Vendor-Client interactions.

To the maximum extent permitted by law, Global Dragon’s total liability shall not exceed the fees paid to Global Dragon by the Vendor during the preceding twelve (12) months.

13. Indemnification

Vendors agree to indemnify and hold harmless Global Dragon from any claims, damages, losses, or expenses arising out of:

  • Vendor services
  • Breach of this Agreement
  • Violation of any law or third-party rights

14. Termination

Global Dragon may suspend or terminate Vendor accounts at any time for violation of this Agreement or misuse of the Platform.

Vendors may terminate their account at any time by providing written notice.

15. Modifications to Agreement

Global Dragon may update this Agreement at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Agreement.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Global Dragon operates.

17. Acceptance

By registering as a Vendor and selecting the acceptance checkbox, you acknowledge that you have read, understood, and agree to be legally bound by this Online Vendor Agreement.
